About this blog

This blog tracks developments under the SEBI (Prohibition of Insider Trading) Regulations, 2015 — amendments, SEBI's own FAQs and guidance, enforcement/adjudication orders, and Securities Appellate Tribunal (SAT) rulings — for an audience of company secretaries, compliance officers, and legal teams who need to stay current without reading every SEBI circular themselves.

It's published by Dolphin Infotek, which builds ESSCom, software for SEBI PIT compliance and Structured Digital Database management, and EsopNxt, ESOP administration software for listed companies.

Wherever possible, articles here are built from primary sources: the actual text of SEBI's Gazette notifications, its published FAQs, and adjudication/SAT orders, rather than secondhand summaries. Where a piece relies on secondary commentary instead of a primary document we've read ourselves, we say so explicitly in that article.

Each article aims to go one step beyond restating what SEBI said, toward what SEBI appears to intend by it, and what that means in practice for a compliance program. That interpretation is our own reading, not SEBI's, and reasonable people — including SEBI itself, in a future clarification — may end up disagreeing with it.

Disclaimer

Nothing on this blog is legal advice. Reading it does not create an advisor-client or attorney-client relationship of any kind between the reader and the author or Dolphin Infotek.

Articles reflect our understanding of SEBI's regulations, FAQs, orders, and related case law as of the date each article was published. Regulations, guidance, and judicial/tribunal rulings in this area change frequently — sections of the PIT Regulations covered here have already been amended multiple times in recent years — and an article may become outdated without notice. We do not undertake to update past articles when the underlying law changes, though we may publish a new article covering the change.

Before relying on anything here for an actual compliance decision, verify the current position directly against SEBI's website (sebi.gov.in) and the current text of the SEBI (Prohibition of Insider Trading) Regulations, 2015, and consult a qualified company secretary, compliance professional, or lawyer for advice specific to your situation.
